These Terms govern your use of our Services, including any content, functionality, and Services offered on or through Dopamap. Eldopas LLC reserves the right to modify these Terms at any time. Continued use of the Services following any such changes constitutes your acceptance of the new Terms. The words "Dopamap" and "Eldopas LLC" may be used interchangeably throughout these tTerms and Conditions and in other documents (such as the Privacy Policy, Community Guidelines, Brand Guidelines, and Cookie Policy) referenced in these terms. Dopamap provides a platform for users to connect and interact seamlessly. You can post events, activities, research studies, rideshare options, and housing listings on our immersive-view map, allowing you to discover and engage with local and community-based opportunities easily. Our flash date feature allows you to experience spontaneous, quick, and fun meet-ups. We continuously strive to enhance your experience and improve functionality, actively working to prevent misuse and harmful conduct within our community. We take swift action, including the removal of abusive content or individuals, and cooperate with law enforcement when necessary.
You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY. User Content
User Content and License: Dopamap allows users to create, post, store, and share a variety of content, including but not limited to text, images, videos, logos, and other materials (collectively, "User Content"). As the owner of your User Content, you retain all rights to it. However, by posting User Content on Dopamap, you grant us a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your content in any media formats and channels, now known or later developed, without compensation to you.
Visibility and Sharing: When you post your content on Dopamap, you understand that it may be visible to others, including your username and profile photo.
Responsibility and Monitoring: Dopamap is not obligated to actively monitor User Content and does not endorse any User Content. We may, however, review and remove any User Content that we deem inappropriate or that violates these guidelines, without notice and at our discretion. By posting on Dopamap, you acknowledge that we have the right to remove content and take action against users who violate these guidelines.
Legal Compliance and Accountability: By posting User Content, you represent and warrant that your content complies with all applicable laws and that you have the right to grant Dopamap the license outlined above. You are responsible for any legal issues or damages resulting from your User Content. Dopamap reserves the right to remove content that violates these guidelines or that may expose us or our users to legal liability.

In case of any conflict between the terms of the third-party store or your mobile carrier and these terms, the terms of the third-party store or mobile carrier shall govern. Dopamap is not responsible for third-party goods or Services you obtain through these platforms. We recommend conducting your own investigation before proceeding with any transaction with third parties.
Mobile Charges and Messaging
Summary: You are responsible for any fees from your mobile service provider, including data and messaging charges. By providing your mobile number, you agree to receive service-related messages, even if your number is on a Do Not Call list. Keep your account updated to avoid messages intended for you being sent to someone else.
When you use Dopamap's Services, you are responsible for any charges incurred from your mobile service provider. This includes data usage fees and charges for sending or receiving messages such as SMS, MMS, or other messaging protocols or technologies. By providing your mobile phone number to Dopamap, you consent to receive messages related to our Services. You may receive these messages even if your mobile number is registered on any state or federal Do Not Call list, or an international equivalent. Make sure to update your account information if you change or deactivate the mobile number. This is to prevent us from sending messages intended for you to another person.
Intellectual Property

Any misuse or infringement may lead to termination of your rights and legal consequences. You agree to follow Dopamap’s Brand Guidelines, which may be updated periodically, and to cease any use that we determine to be nonconforming or unacceptable immediately. You are not permitted to create or use any materials, either physical or digital, that incorporate the Dopamap Marks without our prior written approval. Any unauthorized creation or use of materials featuring the Dopamap Marks will be considered property of Dopamap, and you agree to assign all related rights, titles, and interests to Dopamap.
Compliance and Enforcement: We respect the intellectual property rights of others and expect our users to do the same. If you believe any content on the Dopamap Platform infringes your intellectual property rights, please refer to our Copyright and Infringement section for instructions on how to file a complaint.
Violation of any part of this section may result in immediate termination of your license to use the Dopamap Marks, and Dopamap may take necessary legal action to enforce its rights, which could include takedown requests or legal proceedings.
Mobile Application License
Summary: When you download Dopamap, you receive a limited license to use it on your personal Apple or Android devices, subject to specific terms. You must not modify the app, use it for commercial purposes not intended by us, or violate any laws. Each App Distributor (like Apple or Google) has its own rules you must follow when using Dopamap from their stores.
License Grant
By downloading or using the Dopamap app, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use the App on your personal wireless electronic devices that have a proper identifiable MAC address attached to a legitimate manufacturer-made device. You should not use Dopamap on any unauthorized (made-up) devices such as Raspberry Pi’s, emulators, etc. This license allows you to access and use the App strictly in accordance with these Terms and Conditions.

The following terms apply when you download the App from either the Apple App Store or Google Play Store (each an "App Distributor"):
License Scope: The license to use the App is non-transferable and limited to the use of the App on devices running Apple iOS or Android, as per the App Distributor’s usage rules.
Maintenance and Support: The App Distributor has no obligation to furnish any maintenance or support Services. We will be the only ones providing any maintenance and support for the Services provided within the App.
Compliance with Laws: You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country by the U.S. government, and that you are not listed on any U.S. government list of prohibited or restricted parties.
Third-Party Terms: You must comply with applicable third-party terms of agreement when using the App, such as wireless data Service agreements when using the App.

Indemnification

You agree to defend, indemnify, and hold harmless Dopamap, its subsidiaries, affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including but not limited to reasonable legal fees and costs, arising out of or related to:
(1) your use of the Services;
(2) any violation of these Terms by you;
(3) any breach of your representations and warranties made in these Terms;
(4) your violation of any third-party rights, including but not limited to intellectual property rights; or
(5) any harmful actions taken by you against any other user with whom you connected via the Services.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims at your expense. Dispute Resolution
Summary: Users waive their right to resolve disputes in a court of law by a judge or jury, except for disputes involving intellectual property rights or those that qualify for resolution in small claims court. Arbitration proceedings will be conducted on an individual basis, meaning class actions or collective proceedings are prohibited. This agreement to arbitrate survives the termination of the user's relationship with Dopamap. The Arbitration Agreement is governed by the Federal Arbitration Act (FAA) and Indiana law, with any arbitration conducted under the rules of the American Arbitration Association (AAA). The venue for any legal proceedings related to these Terms or the Services is exclusively in the federal courts of the United States or the courts of the State of Indiana, situated in Fort Wayne. Additionally, disputes between users are to be resolved directly between the parties involved, with Dopamap assuming no responsibility for mediating such disputes or their outcomes.
Informal Negotiations
To expedite the resolution and control the costs of any dispute, controversy, or claim related to these Terms (each a "Dispute"), you and Dopamap (collectively, the "Parties") agree to first attempt to resolve any Dispute informally for at least thirty (30) days before initiating arbitration. Informal negotiations commence upon written notice from one Party to the other.
Agreement to Binding Arbitration
By using Dopamap, you and Dopamap mutually agree to waive your respective rights to resolve disputes in a court of law by a judge or jury and to settle any disputes through binding arbitration. This arbitration agreement ("Arbitration Agreement") is governed by the Federal Arbitration Act ("FAA"), or, if the FAA is inapplicable, by the laws of the State of Indiana. This agreement to arbitrate survives the termination of this Agreement or your relationship with Dopamap. Arbitration will be conducted on an individual basis, as class arbitrations and class actions are not allowed. This Arbitration Agreement applies to all claims between you and Dopamap, including its affiliates, subsidiaries, successors, assigns, and their respective officers, directors, employees, and agents. It also extends to claims involving Dopamap’s Service providers, such as background check providers and payment processors, which are intended third-party beneficiaries of this Arbitration Agreement.
Except as explicitly stated below, all disputes and claims between us shall be resolved exclusively by binding arbitration. This includes any disputes related to the terms of this Agreement, the use of Dopamap Services, your relationship with Dopamap, or any alleged violations, whether based on past, present, or future events. Claims covered include but are not limited to issues related to: the interpretation, enforcement, or validity of this Agreement; disputes over Services and promotions offered through Dopamap; claims under consumer protection laws, antitrust laws, and claims regarding unauthorized use, privacy invasion, fraud, or defamation. The arbitrator will have the authority to decide the scope, applicability, enforceability, and validity of this Arbitration Agreement.
By agreeing to arbitration, you and Dopamap understand that you are waiving the right to sue in court or to have a jury trial for all claims, except those explicitly excluded from arbitration under this Agreement. This Arbitration Agreement intends to cover every claim that can legally be arbitrated, except for those expressly excluded herein.
Scope of Arbitration Agreement
This Arbitration Agreement covers all disputes between you and Dopamap, including those involving our affiliates, subsidiaries, officers, and Service providers, relating to your use of the Dopamap Services. This encompasses claims arising out of or connected to the Dopamap Terms and Conditions, privacy rights, and any other disputes that may arise during your use of the Services. However, disputes regarding intellectual property rights or unauthorized use of Dopamap Services are excluded from arbitration and may be brought directly to court.
Arbitration Process
Before initiating arbitration, you must send a written Notice of Dispute to Dopamap, providing your name, address, user account details, a description of the dispute, and the relief sought. If Dopamap and you cannot resolve the dispute within 60 days, either party may initiate arbitration. The arbitration will be conducted under the rules of the American Arbitration Association (AAA), and presided over by a single arbitrator selected according to these rules. Arbitration fees, location, and procedural rules will be in accordance with the AAA guidelines, and any decisions on the scope or enforceability of the arbitration agreement will be made by a court.
Special Arbitration Provision
For Dopamap users in the United States or Canada, all disputes or claims related to the use of Dopamap Services must be resolved through binding individual arbitration. This Arbitration Agreement is governed by the Federal Arbitration Act (FAA), and where applicable, the laws of the State of Indiana. By agreeing to this provision, you waive your right to have disputes decided in court by a judge or jury, except for those related to intellectual property rights or those that can be resolved in small claims court. Arbitration is to be conducted solely on an individual basis, and class actions, class arbitrations, or any representative actions are prohibited.
Time Limit to Bring a Claim or Dispute
To ensure timely resolution, any claim or dispute, including initiating arbitration, must be brought within one year from when the dispute first arose. If you or Dopamap do not bring a claim within this one-year period, the claim will be permanently barred, meaning it cannot be pursued in arbitration or court. This time limit applies to the fullest extent permitted by law, and any claims filed beyond this period will be dismissed as untimely.
Prohibition of Class Actions and Non-Individualized Relief
You and Dopamap agree to bring claims in arbitration only on an individual basis, not as a class, collective, or representative action. This means that you and Dopamap waive the right to pursue or have disputes resolved as part of any class, collective, or representative proceeding. The arbitrator will have no authority to consider or resolve claims on a class, collective, or representative basis and can only grant relief to the individual party seeking it.
Notwithstanding other provisions in this Agreement, any dispute over the interpretation, applicability, or enforceability of this prohibition on class actions and non-individualized relief must be resolved by a court, not an arbitrator. If a court finds that the prohibition is unenforceable for any claim or remedy, that specific claim or remedy may be brought in a court, but the prohibition on class actions will still apply to all other claims or remedies to the fullest extent possible.
This section ensures that disputes related to your use of Dopamap Services will be handled efficiently and fairly, while also safeguarding the rights of both parties to pursue individual claims in a manner consistent with applicable law.
Restrictions
The Parties agree that arbitration is limited to the Dispute between the Parties individually. Arbitration will not be joined with any other proceeding. There is no right to arbitrate on a class-action basis or to utilize class action procedures. Disputes cannot be brought in a representative capacity on behalf of the general public or others.
Opt-Out and Small Claims Court
You may opt out of this arbitration agreement by sending a written notice to Dopamap within 30 days of accepting the terms or becoming subject to this arbitration provision. Opting out means you retain the right to have disputes resolved in court. Additionally, you may bring disputes in your local small claims court if the matter qualifies and is pursued on an individual basis.
User Disputes
Any disputes between you and other users must be resolved between the parties involved. We are not responsible for mediating such disputes and will not be liable for any issues arising from interactions between users.
Exclusive Venue/Forum Selection
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Indiana, in each case located in the City of Fort Wayne and County of Fort Wayne. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Choice of Law/Governing Law
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Indiana applicable to agreements made and to be entirely performed within the State of Indiana, without regard to its conflict of law principles.
